User Agreement

1. INTRODUCTION AND ACCEPTANCE

1.1. The PartiesThis Terms of Service Agreement ("Agreement") is a legal contract between you ("User," "Player," or "You") and Emerging Nordic Ventures (Chess Point Project), a limited liability company registered under the laws of the Republic of Latvia (Reg. No: 40103655981), having its principal place of business at Rupniecibas str. 1-5, Riga, LV-1010, Latvia ("Chess Point," "Company," "We," or "Us").

1.2. Acceptance of TermsBy creating an account, connecting a digital wallet, purchasing ChessPoints (CP), or accessing the Chess Point platform via web or mobile application (collectively, the "Platform"), you expressly agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Platform.

1.3. Beta NoticeYou acknowledge that the Platform is currently in a "Alpha" phase. The Platform is provided "AS IS" and may contain bugs, errors, or stability issues. You accept the risk of potential data loss, service interruptions, or interface changes.

2. ELIGIBILITY AND COMPLIANCE

2.1. Age Requirements

  • General Access: You must be at least 13 years old to access the Platform for casual (free) play.
  • Prize Tournaments: You must be at least 18 years old (or the age of majority in your jurisdiction) to participate in any Tournament involving Real Money Prizes, Crypto Assets (TON), or financial stakes.

2.2. Restricted Jurisdictions & Sanctions ComplianceThe Platform is not available to any User located in, or acting on behalf of a person located in, a jurisdiction subject to comprehensive international sanctions or embargoes imposed by the European Union, the United Nations, or the United States (collectively, "Restricted Territories"). You represent and warrant that you are not:

  • (a) A resident, national, or agent of a Restricted Territory where the provision of crypto-asset services is prohibited by applicable EU Regulations;
  • (b) A person or entity designated on any economic sanctions list (e.g., EU Consolidated List of Sanctions, US OFAC SDN List); or
  • (c) Attempting to bypass geo-blocking or compliance controls (e.g., via VPN) to access the Platform from a Restricted Territory.Chess Point reserves the right to restrict access to crypto-related features (including TON deposits and prizes) based on your geolocation to comply with these legal obligations.

2.3. Skill-Gaming Restrictions (USA & Global)You represent that you are not accessing the Platform from a jurisdiction where skill-based gaming with prizes is prohibited by law (e.g., the US states of Arizona, Montana, Arkansas, Louisiana, and others). It is your responsibility to ensure your use of the Platform is legal in your local jurisdiction.

3. VIRTUAL CURRENCY (CHESS POINTS) AND PAYMENTS

3.1. Definition of Chess Points (CP)Chess Points (CP) are a virtual internal currency used solely to pay Service Fees for Platform access (e.g., entering tournaments, accessing analysis tools).

  • Not a Crypto Asset: CP is not a cryptocurrency, has no value outside the Platform, and cannot be exchanged for Fiat currency, TON, or other assets.
  • Service Fee Only: CP represents a limited license to use the software; it does not represent a stake or bet in a prize pool.

3.2. EU Right of Withdrawal (Waiver)IF YOU ARE A CONSUMER BASED IN THE EUROPEAN UNION OR UK: You normally have the right to withdraw from digital purchases within 14 days. However, by purchasing CP, you expressly request immediate performance of the contract and acknowledge that you lose your right of withdrawal once the CP is credited to your Account. Therefore, all CP purchases are final and non-refundable, except where required by applicable law.

3.3. TaxesYou are solely responsible for determining and paying any applicable taxes (Income Tax, Capital Gains, etc.) on any Prizes won on the Platform. Chess Point does not withhold taxes unless strictly required by Latvian law.

4. WEB3, CRYPTO ASSETS & SMART CONTRACTS

4.1. Non-Custodial NatureYou acknowledge that Chess Point is a non-custodial service provider. We do not hold, store, or manage your private keys or cryptocurrency wallets. You retain full control and responsibility for your digital assets (TON).

4.2. Prizes & Smart ContractsTournaments may distribute prizes via blockchain Smart Contracts. You acknowledge that:

  • (a) Smart Contract transactions are irreversible;
  • (b) You are responsible for all blockchain network fees ("Gas");
  • (c) Chess Point is not liable for funds lost due to your loss of private keys, wallet incompatibility, or sending funds to the wrong address.

4.3. "Oracle" Risk DisclaimerChess Point uses off-chain data feeds ("Oracles") to report match results to the Smart Contract. You agree that if an Oracle reports an incorrect result due to a technical bug, lag, or synchronization error, Chess Point is not liable for the resulting irreversible payout, provided we acted in good faith to resolve the issue.

5. FAIR PLAY, ANTI-CHEAT & INTEGRITY

5.1. Zero Tolerance PolicyChess Point is a platform of skill. We maintain a strict Zero Tolerance Policy against cheating. You agree not to use chess engines (e.g., Stockfish), external assistance, or engage in sandbagging or collusion.

5.2. Detection & Enforcement (No Obligation to Disclose)We employ proprietary AI algorithms and behavioral analysis to detect unfair play. You agree that Chess Point’s determination regarding Cheating is final and binding. To protect the security of our detection methods, we are not required to provide you with specific proof, data logs, or evidence of your cheating. You hereby waive any right to demand such evidence in a dispute.

5.3. Prize Forfeiture & VerificationAll Tournament results are provisional for a 48-hour Verification Window. If our system flags your account during this window, we reserve the right to:

  • Void your match results;
  • Withhold any Prizes;
  • Terminate your Account and forfeit any remaining CP balance.

6. USER CONDUCT

6.1. Toxic Behavior & DoxingYou agree not to engage in "doxing" (sharing another user's private or identifying information without consent) or use hate speech. We have a zero-tolerance policy for harassment based on race, ethnicity, religion, gender, or disability.

6.2. Botting & ScrapingYou must not use automation software, bots, spiders, crawlers, or scripts to access, copy, or scrape data from the Platform (including PGN files, user profiles, or pricing data) without our express written permission.

7. INTELLECTUAL PROPERTY RIGHTS

7.1. Platform ContentThe Platform, including its code, graphics, and "Chess Point" trademarks, is the property of Emerging Nordic Ventures. You are granted a limited license to access the Platform for personal use only.

7.2. Platform Data OwnershipWhile you retain the rights to your own personal game moves, you acknowledge that aggregated game data (PGN collections), tournament statistics, anti-cheat telemetry, and platform-generated ratings are the proprietary data of Chess Point. You may not build or operate a competing database, training engine, or service using data harvested from the Platform.

8. ASSUMPTION OF RISKS

8.1. General RiskBy using the Platform, you acknowledge the inherent risks of using internet-based services and blockchain technology, including the risk of hardware failure, software issues, and malicious third-party attacks.

8.2. No Investment AdviceYou acknowledge that ChessPoints (CP) and Tournament Prizes are for entertainment and skill-based competition purposes only. They have no guaranteed monetary value, are not investment vehicles, and should not be treated as a way to generate passive income or profit.

9. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHESS POINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF CRYPTO ASSET VALUE). OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT IS LIMITED TO THE TOTAL AMOUNT OF SERVICE FEES (CP) PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of the Republic of Latvia.

11.2. Dispute Resolution Process

  • Phase 1 (Amicable): In the event of a dispute, you agree to first contact us at support@chesspoint.org and attempt to resolve the issue informally for at least 30 days.
  • Phase 2 (EU Consumers): If you are an EU Consumer, you may submit a claim to the Consumer Rights Protection Centre (PTAC) in Latvia or the EU Online Dispute Resolution (ODR) platform.
  • Phase 3 (Arbitration): For all other disputes (including B2B or non-consumer users), the dispute shall be finally settled in the Riga Arbitration Court (Reg. No. 40003756873), in accordance with its Rules of Arbitration, by one arbitrator, in the English language.

13. LIABILITY FOR DAMAGES (INDEMNIFICATION)

13.1. Your ResponsibilityYou agree to compensate and defend Emerging Nordic Ventures, its directors, and employees from any claims, damages, liabilities, and reasonable legal costs asserted by a third party, only to the extent that such claims arise directly from:

  • (a) Your negligent or willful breach of this Agreement;
  • (b) Your infringement of any third-party intellectual property or privacy rights; or
  • (c) Your violation of applicable criminal or administrative laws (including, but not limited to, fraud or money laundering regulations).

13.2. Limitations (Company Fault)For the avoidance of doubt, you shall not be liable to indemnify us for any damages or losses that result from:

  • (a) Our own negligence, willful misconduct, or breach of this Agreement;
  • (b) Technical failures of the Platform that are not caused by your actions; or
  • (c) Any event where liability cannot be lawfully transferred to a consumer under the laws of the Republic of Latvia.

13.3. Conduct of ClaimsIn the event of a claim triggering this Section 13, we agree to: (i) notify you promptly of the claim; and (ii) not settle the claim without your reasonable consent, unless the settlement releases you from all liability.

14. MODIFICATIONS TO THE AGREEMENT

14.1. UpdatesWe reserve the right to modify these Terms at any time. If we make material changes, we will provide you with reasonable notice (e.g., via email or a prominent banner on the Platform) at least 14 days before the changes become effective.

14.2. AcceptanceYour continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the new Terms. If you do not agree to the changes, you must stop using the Platform.

15. TERM AND TERMINATION

15.1. Termination for CauseChess Point may terminate or suspend your Account immediately, without notice or refund, if you breach this Agreement, engage in Cheating (as defined in Section 5), or violate the law.

15.2. Termination for ConvenienceWe may terminate your access to the Platform for any other reason by providing reasonable notice. In such cases, if you have a remaining balance of purchased ChessPoints, you may be eligible for a refund in accordance with applicable consumer laws.

16. GENERAL PROVISIONS

16.1. Entire AgreementThis Agreement, together with our Privacy Policy and any specific Tournament Rules, constitutes the entire agreement between you and Chess Point regarding the Platform and supersedes all prior agreements.

16.2. SeverabilityIf any provision of this Agreement is held to be invalid or unenforceable (e.g., by a change in EU consumer law), that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3. AssignmentYou may not assign or transfer your rights or obligations under this Agreement without our prior written consent. Chess Point may assign this Agreement to a subsidiary or acquirer of our business without restriction, provided that your rights are not reduced.

16.4. Force MajeureWe are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or strikes.
